Availability: We strive for high availability, but do not guarantee uninterrupted access. Scheduled maintenance and force-majeure events may cause downtime.
Usage Limits: Your plan may include limits on users, data storage, API calls, or integrations. Excess usage may incur additional fees.

4. Fees & Payment
Subscription Plans: You agree to pay the subscription fees for the plan you select. All fees are in U.S. dollars unless otherwise noted.

Billing Cycle: Subscriptions renew automatically at the end of each term (monthly or annual), unless you cancel before renewal.

Refunds & Cancellations: You may cancel at any time. We do not provide pro-rated refunds for partial billing periods. Refunds are granted at our sole discretion.
Late Payments: Past-due balances may incur interest at 1.5% per month or the maximum permitted by law, whichever is lower.

5. Intellectual Property
Our Ownership: All rights, title, and interest in the Service—including software, trademarks, logos, and content—remain with Sales Vision or our licensors.

License to You: We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

User Content: You retain ownership of data and content you upload. You grant us a worldwide, royalty-free license to host, process, and display your content to provide the Service.

6. Acceptable Use
You agree not to:

Reverse engineer, decompile, or attempt to derive source code.

Use the Service to violate any law, regulation, or third-party right.
Introduce malicious code, spam, or automated scraping.

Circumvent any usage limits or security measures.

7. Privacy & Data Security

Limitation of Liability: To the maximum extent allowed by law, Sales Vision’s total liability for any claim related to these Terms or the Service will not exceed the fees you paid in the 12 months before the claim.

10. Termination
By You: You may cancel your subscription at any time through your account settings.

By Us: We may suspend or terminate your account for breach of these Terms or illegal activity, with or without notice.

Effect of Termination: Upon termination, your right to use the Service immediately ceases. We may delete your data in accordance with our Data Retention policy.
11. Governing Law & Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of Texas, U.S., without regard to conflict-of-law principles.

Dispute Resolution: Any dispute will be resolved by binding arbitration in Travis County, Texas, under the rules of the American Arbitration Association, except where prohibited by law.

We may update these Terms from time to time. We will post the revised date at the top and, if changes are material, provide advance notice via email or in-app alerts. Your continued use of the Service after changes take effect constitutes acceptance.
